This website (the "Website") is operated by Star Flare Technology LLC ("usmile", "we", "us", "our"), a company registered in the United States with its registered office at 1521 Concord Pike Suite 201 Wilmington DE 19803 , company number 3414658. Our Website is hosted and powered by Shopify Inc., which provides the e-commerce infrastructure enabling us to offer products and services to you. These Terms of service ("Terms") govern your access to and use of our Website and the purchase of products through it. They apply to all visitors, customers, and users. For the purposes of these Terms, the “Products” shall mean the variety of products offered for sale to you on the Website.

NOTICE TO UK CONSUMERS: These Terms are governed by Hong Kong law. If you are a consumer habitually resident in the United Kingdom, you will also benefit from any mandatory protections afforded to you under UK consumer law. If you violate any of these Terms, we reserve the right to unilaterally suspend and/or deactivate your access, disable any user identification code or passcode, restrict, suspend or terminate your account, remove any inappropriate content in your account, request that you immediately stop or rectify the unlawful use, or, should the unlawful use and/or violation continue, usmile is entitled to respond and to take any lawful measures that we consider necessary.
  6. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of theservice, violate any laws in your jurisdiction (including but not limited to copyright laws).
  7. You must not transmit any worms or viruses or any code of a destructive nature.
    A breach or violation of any of the Terms will result in an immediate termination of your Services.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website and its content solely for your personal, non-commercial purposes (including browsing and purchasing products). This license does not include: (a) any resale or commercial use of the Website or its contents; (b) any collection and use of any product listings, descriptions, or prices; (c) any derivative use of the Website or its contents; (d) any downloading, copying, or other use of account information for the benefit of any third party; or (e) any use of data mining, robots, or similar data gathering and extraction tools.

Risk in the Products shall pass to you when the Products are delivered to you or to a person identified by you to take possession of them.Where you request delivery to a safe place or to a third party (such as a neighbour or concierge), risk shall pass once delivery has been completed in accordance with your instructions. For the avoidance of doubt, delivery shall be deemed completed where the Products are delivered in accordance with your delivery instructions. For the purposes of this Section, evidence of delivery provided by our carrier, including but not limited to photographic proof of delivery at the specified address or 'safe place', or GPS tracking data, shall be deemed conclusive evidence that the Product has been delivered in accordance with your instructions.

 

SECTION 4 ORDERS, PAYMENT AND BILLING

  1. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.If we cancel an order after payment has been processed, we will refund the amount paid for the canceled portion of the order.
  2. You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

A contract between you and us is formed only when we send you an order confirmation or shipping confirmation confirming that your order has been accepted. We reserve the right to reject or cancel an order before acceptance, including where a Product is unavailable, there is a material pricing or product description error, payment is not authorised, or we reasonably suspect fraud, misuse, or unauthorised resale. If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled portion of the order.
  4. If you initiate a chargeback or payment dispute without first contacting us, we encourage you to contact us so we can resolve the issue promptly. Where a chargeback or dispute is initiated in bad faith or in circumstances where a refund has already been provided or is being processed, we reserve the right, to the extent permitted by applicable law, to:

(a) suspend or terminate your account;

(b) refuse future orders;

(c) recover any costs, fees, or losses incurred by us in connection with the dispute.

SECTION 4ASTATUTORY RIGHT TO CANCEL

  1. If you are a consumer in the United Kingdom and you purchase goods from us online, you generally have the right to cancel your order within 14 days from the day after you, or a third party nominated by you other than the carrier, receive the goods, unless an exception applies.
  2. To exercise your right of withdrawal, you must notify us before the withdrawal period expires. You may do so through any of the following channels:

Upon receiving your withdrawal notice, we will promptly send you an email acknowledgment.

  1. Once you have notified us of your withdrawal, please return the goods to us within 14 calendar days. We will process your refund within 14 calendar days of receivingyour withdrawal notice. We may withhold the refund until we have received the goods back, or until you have provided evidence of having sent back the goods, whichever is the earlier. The refund will be made using the same payment method you used for the original purchase.
  2. You may inspect the goods in a way that is reasonably necessary to establish their nature, characteristics, and functioning, as you would be permitted to do in a shop. You are responsible for any diminished value of the goods resulting from handling beyond what is necessary for that purpose. We will refund the amount you paid for the order, including the cost of standard delivery where applicable. However, if you expressly chose a delivery method other than the least expensive type of standard delivery offered by us, we are not required to reimburse the supplementary costs of that more expensive delivery option. Please note that you will have to bear the direct costs of returning the items, unless we have agreed otherwise or applicable law requires otherwise.
  3. The right of withdrawal does not apply to: (a) goods made to your personal specification or clearly personalised; (b) goods which may deteriorate or expire rapidly; (c) sealed goods which are not suitable for return due to health protection or hygiene reasons and which have been unsealed after deliveryincluding but not limited to replacement brush heads, tongue scrapers, and the main toothbrush unit handle, which are considered hygiene-sealed goods. Once the protective film or seal on these items has been broken, the right to cancel is lost unless the product is faulty; (d) digital content not supplied on a tangible medium, where performance has begun with your prior explicit consent and acknowledgment that you thereby waive your right of withdrawal.

Upon termination of these Terms, we may retain and delete information in accordance with applicable law, our Privacy Policy, and our legitimate business, accounting, tax, fraud prevention, dispute resolution, and recordkeeping needs. SECTION 13 – FAIR USE & ANTI-ABUSE

We reserve the right to refuse, cancel or limit orders, suspend accounts, or revoke promotional benefits where we reasonably suspect abuse, including but not limited to:

 

(a) excessive or abnormal return/refund behaviour;

(b) bulk purchasing or purchasing for resale;

(c) misuse of discounts, coupons or promotional campaigns;

(d) creation of multiple accounts to circumvent restrictions;

(e) any fraudulent, unlawful or bad faith activity.

 

We may take such actions, to the extent permitted by applicable law, without prior notice where reasonably necessary for fraud prevention or risk management.

 

SECTION 14 – GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong"), without reference to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. If you are a consumer habitually resident in the United Kingdom, you will also benefit from any mandatory provisions of UK consumer law that apply to you and cannot be excluded by contract. Nothing in these Terms prevents you from relying on mandatory UK consumer protection laws or from bringing proceedings in the courts of the part of the United Kingdom in which you live.
  3. We will endeavour to resolve any disputes quickly and efficiently. If you have a complaint, please contact our customer service team in the first instance at service@usmile.uk.
  4. If we are unable to resolve a dispute informally and either of us wishes to bring a legal claim, you may bring proceedings in the courts of the part of the United Kingdom in which you live, or in any other court permitted by applicable law. We may bring proceedings against you only in a court permitted by applicable law.
  5. Disputes concerning intellectual property rights, including trademarks, copyrights, patents, trade secrets, or other intellectual property rights, may be brought before any court of competent jurisdiction permitted by applicable law.

 

SECTION 15 GENERAL PROVISIONS

  1. In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
  2. The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
  3. These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
